1. Agreement to Terms

By accessing or using Wisdone AI ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of the terms, you may not access the Service.

The Service is operated by Cognice LLC, a Texas limited liability company doing business as Wisdone AI ("we", "us", "our"). References to Wisdone AI in these Terms mean Cognice LLC.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years of age or have the consent of a parent or guardian.

2. Description of Service

Wisdone AI provides an AI-powered chatbot platform that enables businesses to create and deploy intelligent chatbots on their websites. Our Service includes:

• AI chatbot widget for website integration
• Knowledge base management (URLs, files, text)
• Retrieval-Augmented Generation (RAG) capabilities
• Lead capture and conversation analytics
• Customizable chatbot appearance and behavior

3. Account Registration

To use certain features of the Service, you must register for an account. When you register, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our sole discretion.

4. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable laws, regulations, or third-party rights
• Upload or transmit malicious code, viruses, or harmful content
• Collect or harvest user data without proper consent
• Impersonate any person or entity or misrepresent your affiliation
• Engage in any activity that interferes with or disrupts the Service
• Attempt to gain unauthorized access to any part of the Service
• Use the Service for any illegal, harmful, or fraudulent purpose
• Generate, distribute, or facilitate spam or unsolicited messages
• Train competing AI models using our Service outputs

5. Your Content and Data

You retain ownership of all content and data you upload to the Service ("Your Content"). By uploading content, you grant us a limited license to:

• Process and store Your Content to provide the Service
• Create embeddings and vector representations for search functionality
• Use Your Content to improve the chatbot responses for your account

We do not use Your Content to train general AI models or share it with third parties except as necessary to provide the Service (e.g., API calls to AI providers like OpenAI or Anthropic).

You are solely responsible for ensuring you have the right to upload and use any content with the Service, including compliance with copyright, trademark, and privacy laws.

6. Privacy and Data Protection

Your privacy is important to us. Our use of your personal information is governed by our Privacy Policy. Key points include:

• We collect only data necessary to provide and improve the Service
• Chat conversations are stored to provide conversation history and analytics
• Lead information captured through chatbots is stored securely and accessible only to you
• We use industry-standard security measures to protect your data
• You can export or delete your data at any time through your dashboard

7. Payment Terms

Some features of the Service require payment. By subscribing to a paid plan, you agree to:

• Pay all applicable fees as described at the time of purchase
• Provide valid and current payment information
• Authorize us to charge your payment method on a recurring basis

Subscriptions are billed monthly or annually, in advance, and renew automatically at the end of each billing period. Price changes will be communicated at least 30 days in advance.

Cancellation and refunds

• Cancel any time. You can cancel from the Billing page of your dashboard. Your plan stays active until the end of the billing period you have already paid for, then your account moves to the Free plan. You will not be charged again.
• No partial refunds. We do not refund or credit the unused part of a monthly or annual billing period after cancellation, except where required by law.
• Plan changes are prorated. When you switch plans, you are credited for the unused time on your current plan and charged for the new one.
• Message packs are one-time purchases and are non-refundable once purchased.

If you believe you were charged in error, contact us at support@wisdone.ai and we will make it right.

8. Intellectual Property

The Service and its original content (excluding Your Content), features, and functionality are and will remain the exclusive property of Wisdone AI and its licensors. The Service is protected by copyright, trademark, and other intellectual property laws.

Our trademarks, service marks, and logos may not be used in connection with any product or service without our prior written consent.

9. Third-Party Services

The Service integrates with third-party services including but not limited to:

• OpenAI and Anthropic for AI language model capabilities
• Stripe for payment processing
• Cloud infrastructure providers for hosting and storage

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will be uninterrupted, secure, or error-free
• AI-generated responses will be accurate, complete, or appropriate
• The Service will meet your specific requirements or expectations
• Any defects or errors will be corrected

You acknowledge that AI-generated content may contain errors, inaccuracies, or inappropriate responses. You are responsible for reviewing and validating all chatbot responses for your use case.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WISDONE AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

Our total liability for any claims arising under these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wisdone AI, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of the Service
• Your Content or data uploaded to the Service
• Your violation of these Terms
• Your violation of any third-party rights

13. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice, for any reason, including breach of these Terms.

Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and associated data
• Provisions that by their nature should survive will remain in effect

You may terminate your account at any time by contacting us or using the account deletion feature in the dashboard.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last updated" date.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, please stop using the Service.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration or in the courts of competent jurisdiction, at our discretion.
